If that is XP 32bit then you must apply SP3. That is a System Requirement for Max.

Try renaming your MaxManaged.xaml and maybe 3dsmax.ini - they wil get recreated clean, but you may lose some preferences / default settings.

Failing that see this blog

Max 4.2 through 2013.
XP-64 (SP2)
NVidia 9800GTX-512 (Driver 266.58).
Core 2 Quad Q6600 2.4GHz, 8Gb Ram, DX9.0c.

I’ve tried 2nd solution and didn’t work. I think you right about SP3 requirement. I got message “ .....a.max is not valid Win32 application” when trying to open max file by clicking. But I’m so much lazy if it’s all about Reinstall windows. have you have the other solutions ?

You shouldn’t need to reinstall windows, merely install SP3 for XP. May be advisable to reinstall Max though, remembering to disable firewall/av and to make sure you are logged in as Administrator when you do, and to run Max at least once (as Administrator) before using it as a normal user.
